2. Warranty. You accept the equipment “as is” and assume all responsibility for the item’s condition. Seller makes no expressed or implied warranty for the item.
3. Confidentiality. You will keep the terms of this purchase confidential, as well as any Seller trade secrets, know-how, software, technology, specifications, and non-public business or financial information; non-public personal information; and any other information that reasonably should be understood to be confidential that you receive in connection with this purchase.
4. Patient Data. Seller does not intend to disclose, and you do not intend to receive, any patient data (i.e., protected health information, personally identifiable information, or payment card information) with the items. But if you do receive any patient data, you will immediately notify Seller, and at Seller’s request, return or destroy that information.
5. Limitation on Liability. SELLER, AND ALL OF ITS SUBSIDIARIES, AFFILIATES, FACILITIES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR ANY OF THEIR RESPECTIVE SUCCESSORS OR ASSIGNS, ARE NOT LIABLE TO YOU FOR SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR OTHER INDIRECT DAMAGES, LOSSES, OR EXPENSES. SELLER’S LIABILITY IN CONNECTION WITH THIS SALE WILL IN NO EVENT EXCEED THE AMOUNT PAID FOR THE APPLICABLE ITEM.
6. Compliance. You will comply with all applicable laws and codes of ethics. The amount paid for the item is fair market value based on an arm’s-length transaction, and does not take into account, directly or indirectly, the value or volume of any past or future referral or business.
7. Governing Law; Venue; Attorneys’ Fees. Pennsylvania laws govern this transaction and any dispute related to this purchase will be resolved in state and federal courts in Pennsylvania. The prevailing party in any dispute is entitled to recover its reasonable attorneys’ fees, other fees, and costs incurred in the dispute.
8. Removal. If the items purchased require removal, will pay all expenses related to that removal, including any costs to return the item site to the same condition it was in before you removed the item. You accept responsibility for safety or environmental risks related to uninstalling and removing the item. If you fail to remove the item within the time specified by Seller, Seller may sell the item to another party. Depending on the item type, Seller may require you to obtain a work permit in a form it will provide you.
9. Miscellaneous. These terms are the entire agreement and understanding between you and Seller relating to the items purchased and bind you and your representatives, successors, and assigns. These terms may be amended only by a signed, written agreement. No failure to enforce or exercise any right under these terms constitutes a waiver. If any of these provisions are invalid or unenforceable, then the rest remain in full force and effect. Accepting the items purchased constitutes acceptance of these terms, as does an electronic acceptance or signature – which is also binding.
